III. ACCEPTANCE OF TERMS

By using our Website or engaging our Services, you confirm that you have read, understood, and agreed to these Terms and Conditions. If you are entering into this Agreement on behalf of a company, you represent that you have the authority to bind that entity.

IV. SERVICES AND DELIVERY

1. Europe Localize will provide Services in accordance with the specifications agreed upon in the Client’s request or purchase order.

2. All delivery dates are estimated unless expressly stated otherwise in writing.

3. Europe Localize reserves the right to subcontract work to qualified linguists or service providers, provided confidentiality and quality standards are maintained.

V. PRICING AND PAYMENT TERMS

1. All prices are quoted in the applicable currency specified in the quotation.

2. Unless otherwise agreed, invoices are payable within thirty (30) days from the invoice date.

3. Late payments may incur interest at the maximum rate permitted by law.

4. Europe Localize reserves the right to withhold or suspend Services in the event of non-payment or delayed payment.

5. All bank transfer or processing fees shall be borne by the Client.

VI. CLIENT RESPONSIBILITIES

1. The Client must provide accurate and complete information necessary for the provision of Services.

2. Europe Localize shall not be liable for delays or errors resulting from unclear, incomplete, or inaccurate source materials provided by the Client.

3. The Client is responsible for reviewing all Deliverables upon receipt and notifying Europe Localize of any issues within ten (10) business days.

VII. CONFIDENTIALITY

1. Both parties agree to maintain strict confidentiality regarding all proprietary or sensitive information exchanged during the course of the Services.

2. Europe Localize will ensure that all subcontractors are bound by equivalent confidentiality obligations.

3. Confidential information will not be disclosed to third parties except as required by law.

VIII. INTELLECTUAL PROPERTY

1. Upon full payment, all intellectual property rights in the Deliverables shall transfer to the Client, except for any pre-existing materials or tools used by Europe Localize.

2. Europe Localize retains the right to use anonymized and aggregated data for internal analysis and quality assurance purposes.

IX. DATA PROTECTION & GDPR COMPLIANCE

1. Europe Localize is committed to protecting personal data in compliance with the General Data Protection Regulation (EU) 2016/679 (GDPR), the UK GDPR, and applicable U.S. data privacy laws such as the California Consumer Privacy Act (CCPA).

2. We collect and process personal data solely for legitimate business purposes and in accordance with our Privacy Policy.

3. Clients acting as data controllers are responsible for ensuring they have obtained the necessary consents for data processing.

4. Europe Localize implements technical and organizational measures to safeguard personal data against unauthorized access, disclosure, or loss.

X. LIMITATION OF LIABILITY

1. Europe Localize shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Services.

2. In any event, our total liability shall not exceed the total fees paid by the Client for the specific Service giving rise to the claim.

3. Europe Localize does not guarantee error-free translation or localization, though it commits to professional standards and reasonable accuracy.

XI. TERMINATION

1. Either party may terminate the Agreement upon written notice if the other party breaches any material term and fails to remedy it within ten (10) business days.

2. Upon termination, the Client shall pay for all completed work and any work-in-progress up to the termination date.

XII. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of:

• Poland (Europe Localize Sp. z o.o. headquarters),

• and where applicable, the local jurisdiction of the Client (e.g., Germany, United States, or other international locations).

Disputes shall be resolved amicably whenever possible; otherwise, they shall be submitted to the competent courts in Poland, unless otherwise mutually agreed.

XIII. CHANGES TO TERMS

Europe Localize may update or revise these Terms and Conditions at any time. Updates will be posted on this page with a revised “Effective Date.” Continued use of our Website or Services after changes constitutes acceptance of the updated Terms.
